BYLAWS
Article
I: Name
This organization shall be called the Heritage Fiber Guild.
Article II: Purpose
The purpose of this organization shall be to stimulate an interest in
the art and craft of fiber and textile arts; to achieve the highest standard
of excellence; to provide educational opportunities and promote exhibitions:
and to help and encourage all fiber artists and craftspeople.
Article
III: Membership
Section
1: Membership in this organization shall be open to all who submit an
interest card and pay annual dues.
Section 2: Paying members are entitled to all privileges and duties of
the organization, including voting and holding office.
Article
IV: Officers
The officers of this organization shall be President, Vice President/President-Elect,
Secretary, and Treasurer.
Section1:
Duties
a. The President shall perform the usual functions of that office, administer
the affairs of the guild, appoint all committees except nominating, and
be ex officio member of all committees except nominating.
b. The Vice President/President-Elect shall assist the president in carrying
out the duties of that office, shall preside in the president’s
absence, and shall be program chairman.
c. The Secretary shall be responsible for notifying the membership of
all meetings and see that minutes of such meetings are kept, shall handle
and preserve all correspondence, and prepare a yearly summary of guild
events.
d. The Treasurer shall be responsible for the receipt and custody of all
monies of the organization and the disbursement thereof as authorized
by the membership: for executing financial statements and reports. The
treasurer shall be bonded.
Section
2: Elections
a. The officers shall be elected and installed by a majority vote of the
active members present and voting at the annual meeting which shall be
held in September of every year. A nominating committee consisting of
three (3) members shall be elected at the May meeting.
b. The term of office shall be for two (2) years beginning in September.
No person shall hold the same office for more than two (2) consecutive
terms. The President will serve for one year, and shall serve as an advisor
to the next president for the following year. The Vice-President/President-Elect
will serve in that office for one year, then will serve as President the
following year.
c. If a vacancy occurs in any office, the president, upon advice of the
nominating committee, shall appoint a person to fill the unexpired term
of that office.
Article
V: Meetings
Section 1: The regular meeting of the Guild shall be the first Saturday
of the month unless otherwise notified.
Section 2: The annual meeting of the guild shall be the second Saturday
of September of every year, unless otherwise notified.
Section 3: Special meetings may be called by the President or by five
(5) members at any time, but no business shall be transacted except that
for which the meeting was called, and shall have been specified in the
call.
Section 4: A quorum shall be a majority of those members present.
Article
VI: Dues
Section 1: There shall be an annual membership fee to be determined by
the membership at the annual meeting. The dues shall be payable at the
September meeting by all members. Those becoming members after the February
meeting shall pay half of the fee.
Section 2: Dues shall become delinquent after the January meeting, and
those not paying shall lose all benefits of membership.
Article
VII: Committees
Section 1: The President shall appoint committees.
a. There shall be a nominating committee elected by the members at the
May meeting. It shall be composed of three (3) members. The committee
shall submit a slate of officers for the following year at the September
annual meeting and recommend any necessary replacements to the president
when an officer vacancy occurs.
b. There shall be a program committee appointed by the president. This
committee shall be chaired by the vice president. The program committee
shall be responsible for planning programs.
Section 2: The president shall appoint any other committees deemed necessary.
Article
VIII: Parliamentary Authority
Roberts Rule of Order, Revised, shall be the parliamentary authority governing
the meetings and all committees.
Article
IX: Amendments
These bylaws may be amended at any regular meeting of the organization
by a two-thirds majority vote of those members present, a written notice
of such pending change having been sent at least two (2) weeks before
the meeting.

PROCEDURES
Effective
Sept 8, 2007
Membership
The Heritage Fiber Guild will be comprised of persons who have completed
the Interest Form and paid dues the annual dues.
Nominating
Committee
A
nominating committee appointed at the May meeting.
The
committee shall complete and distribute the slate of officers to the membership
by August 1st.
Committees
Standing
Committees shall be Membership, Hospitality, Web Weaver, Programs, Workshop/Special
Events, Librarian, Historian, and Public Relations. Committee chairs shall
be appointed by the President.
Committees
shall keep meeting summaries and make reports to the membership when appropriate.
Communication
to members
The
primary mode of communication will be email through the Guild email address
- heritagefiberguild@hotmail.com or web site.
Secondary
mode of communication shall be US Postal Service.
Calling
committees shall be used as needed.
Finances
Annual
dues shall be $20 per year due by the September meeting.
Guild
officers are authorized to sign checks.
The
treasurer may authorize expenses up to $100. Expenses over $100 will required
two signatures.
Fiscal Year
The
fiscal year shall be September 1 - August 31.
Amendments
The policies and procedures may be amended by any regular meeting. Changes
require a majority vote of the members present.
